WEX海洋城市基金會章程

**第一章：總則**

第一條：基金會名稱為「WEX海洋城市基金會」（以下簡稱「WEX基金會」）。

第二條：基金會的設立目的在於推動海洋城市相關事務的研究、發展和實踐，促進海洋城市的可持續發展，提升人類對海洋資源的認識和保護。

第三條：基金會的設立地點為基隆市中正區（籌畫中）。

**第二章：目的與任務**

第四條：基金會的宗旨是：

1. 推動海洋城市相關領域的研究和創新，促進海洋資源的合理開發利用；

2. 提倡海洋生態保護和永續發展，支持海洋環境保護項目；

3. 鼓勵公眾參與海洋教育和宣傳活動，提高海洋保護意識；

4. 支持海洋城市建設與管理，促進海洋城市的科技創新和社會進步。

**第三章：組織架構**

第五條：基金會設立董事會，負責制定基金會的發展戰略和重大決策。

第六條：基金會設立專業委員會，包括但不限於科研委員會、教育委員會、資源管理委員會等，負責指導和支持相應領域的工作。

**第四章：會員制度**

第七條：基金會設立會員制度，分為榮譽會員、常務會員和普通會員，具體資格和申請程序由基金會章程另行規定。

**第五章：財務管理**

第八條：基金會的經費主要來源包括政府補助、捐贈、贊助和其他合法收入，並按照法律法規規定進行財務管理。

**第六章：章程修改**

第九條：對於章程的修改必須經過董事會的審議通過，並經過三分之二以上會員代表的同意方能生效。

**第七章：解散**

第十條：如需解散基金會，必須經過董事會的決定，並經過三分之二以上會員代表的同意，並按照法律程序辦理解散手續。

**第八章：附則**

第十一條：本章程自通過之日起生效。

**附：基金會章程修改程序**

1. 基金會章程的修改由董事會提出，並經過董事會的審議通過。

2. 經過董事會審議通過的章程修改案件，需提交給會員大會審議。

3. 章程修改案件需經過三分之二以上出席會員代表的同意方能通過。

WEX Ocean City Foundation Charter

**Chapter 1: General Provisions**

Article 1: The name of the foundation is "WEX Ocean City Foundation" (hereinafter referred to as "WEX Foundation").

Article 2: The purpose of establishing the foundation is to promote the research, development and practice of marine city-related matters, promote the sustainable development of marine cities, and enhance human understanding and protection of marine resources.

Article 3: The foundation will be established in Zhongzheng District, Keelung City (under planning).

**Chapter 2: Purpose and Mission**

Article 4: The purpose of the Foundation is:

1. Promote research and innovation in marine city-related fields and promote the rational development and utilization of marine resources;

2. Promote marine ecological protection and sustainable development, and support marine environmental protection projects;

3. Encourage the public to participate in marine education and publicity activities and raise awareness of marine protection;

4. Support the construction and management of ocean cities and promote technological innovation and social progress in ocean cities.

**Chapter 3: Organizational Structure**

Article 5: The foundation shall establish a board of directors responsible for formulating the development strategy and major decisions of the foundation.

Article 6: The foundation shall establish professional committees, including but not limited to scientific research committees, education committees, resource management committees, etc., to be responsible for guiding and supporting work in corresponding fields.

**Chapter 4: Membership System**

Article 7: The foundation has established a membership system, which is divided into honorary members, standing members and ordinary members. The specific qualifications and application procedures are separately stipulated in the articles of association of the foundation.

**Chapter 5: Financial Management**

Article 8: The foundation's main sources of funding include government subsidies, donations, sponsorships and other legal income, and financial management shall be conducted in accordance with laws and regulations.

**Chapter 6: Amendment to the Articles of Association**

Article 9: Modifications to the Articles of Association must be reviewed and approved by the Board of Directors and must be approved by more than two-thirds of the member representatives before they can take effect.

**Chapter 7: Dissolution**

Article 10: If the foundation needs to be dissolved, it must be decided by the board of directors and approved by more than two-thirds of the member representatives, and the dissolution procedures must be completed in accordance with legal procedures.

**Chapter 8: Supplementary Provisions**

Article 11: This Article of Association shall take effect from the date of adoption.

**Attachment: Procedure for amending the Foundation's Articles of Association**

1. Modifications to the Foundation's Articles of Association are proposed by the Board of Directors and reviewed and approved by the Board of Directors.

2. Articles of Association amendment cases reviewed and approved by the Board of Directors must be submitted to the General Meeting of Members for review.

3. Amendments to the Articles of Association must be approved by more than two-thirds of the member representatives present.
